Overview

I'm supporting an AM20 client, who are seeking a passionate
Real Estate Associate
to join their nationally recognized
Commercial Real Estate and Community Development Finance Practice
.

This is an exciting opportunity to work on sophisticated real estate transactions, including
complex development projects financed through New Markets Tax Credits (NMTC), Historic Tax Credits (HTC), and other federal and state incentive programs
.

Responsibilities

The ideal candidate will:

  • Represent lenders, investors, developers, and community-based organizations in
    commercial real estate transactions
    , including acquisitions, dispositions, joint ventures, and leasing.
  • Advise on the structuring, negotiation, and closing of
    NMTC and HTC transactions
    , including multi-tiered financing structures, leverage loans, and qualified equity investments.
  • Draft and negotiate operating agreements, finance documents, purchase and sale agreements, development agreements, and related real estate and tax credit documentation.
  • Conduct due diligence, analyze title, survey, zoning, and environmental reports, and coordinate closings.
  • Collaborate with tax, public finance, and community development teams on deals involving
    blended or layered financing
    (e.g., LIHTC, Opportunity Zones, energy credits, and state incentive programs).
  • Provide ongoing counsel to clients regarding project compliance, recapture risks, and credit delivery considerations.

Qualifications

  • 3–6 years of relevant experience
    in commercial real estate transactions; experience with NMTC and/or HTC transactions strongly preferred.
  • Strong understanding of real estate finance, partnership structures, and tax-incentivized development.
  • Excellent drafting, analytical, and communication skills.
  • Ability to manage complex transactions and work directly with clients in a fast-paced environment.
  • Admission to the Illinois Bar or opportunity to waiver in.
