Position Overview

Client is seeking a Mid-Level Fund Formation Associate to join its highly integrated private investment funds practice. Operating from a single Boston office, the firm advises private equity and venture capital sponsors across the full life cycle of private investment funds, delivering strategic market and regulatory guidance during fundraising and throughout fund operations.

This role offers the opportunity to work closely with sponsors and investors on sophisticated fund formation matters within a collaborative, high-performing environment.
Key Responsibilities
  • Advise private equity and venture capital sponsors and investors on fund formation matters.
  • Draft and negotiate key fund documents, including:
    • Limited Partnership Agreements (LPAs)
    • Subscription Agreements
    • Side Letters
  • Perform legal review, drafting, and completion of Private Placement Memoranda (PPMs).
  • Draft and structure general partner and management company arrangements.
  • Handle regulatory and compliance matters for private equity and venture capital firms.
  • Manage all documentation and processes related to fund formation transactions.
  • Coordinate transaction workflows and ensure timely execution of fund closings.
Qualifications
  • At least 3 years of experience in fund formation for private equity and venture capital sponsors and their investors.
  • Strong working knowledge of:
    • The Securities Act of 1933
    • The Investment Company Act of 1940
    • The Investment Advisers Act of 1940
  • Excellent professional judgment and strong work ethic.
  • Ability to work independently as a self-starter while delivering exceptional client service.
  • Highly motivated with a desire for continued personal and professional growth.
  • Large law firm experience strongly preferred.
Work Schedule & Environment
  • Hybrid work model requiring in-office presence at least four days per week.
  • Schedule subject to change based on firm, department, and client needs.
Work Authorization
  • Must be legally authorized to work in the United States without current or future employer sponsorship.
Compensation & Benefits
  • Market-based compensation aligned with attorney level and experience.
  • The anticipated salary range for this role is $260,000 - $365,000, excluding bonus compensation and a generous benefits package.
  • Actual compensation will be determined based on job-related, non-discriminatory factors, including:
    • Qualifications and prior experience
    • Attorney level placement
    • External market data
    • Internal equity
    • On-track or off-track designation
