Join a Market-Leading Private Investment Funds Practice:
An AmLaw 50 firm with one of the largest and most sophisticated global fund practices is seeking a Mid- level Private Investment Funds Associate to join its growing Private Investment Funds group. The group represents clients across the private equity, real estate, venture capital, credit, and technology sectors.
As previewed in recent market updates, the Private Investment Funds (PIF) team continues to experience strong momentum across all asset classes. Clients consistently turn to the team for guidance on innovative fund structures, tax planning, regulatory compliance, and complex securities considerations.
Role and Responsibilities:
- Represent fund sponsors and institutional investors on all aspects of private investment fund formation and operations.
- Draft and negotiate limited partnership agreements, side letters, and related investor documentation.
- Advise on private placements under the Securities Act of 1933 and unregistered funds under the Investment Company Act of 1940.
- Counsel clients on compliance under the Investment Advisers Act of 1940 and related regulatory issues.
- Collaborate across disciplines-including tax, M&A, funds finance, and regulatory teams-to deliver integrated legal solutions.
- Support secondary transactions, continuation funds, and other fund lifecycle events.
- Work alongside a large group of investment funds lawyers across the U.S., Europe, and Asia within a fully integrated, cross-border platform.
- Engage with mid-market to global sponsors across multiple sectors and fund structures.
- Participate in the group's industry-leading secondaries practice, one of the few globally capable of advising across the entire fund lifecycle.

- Competitive salary range: $260,000 - $365,000 depending on experience and class year.

Requirements
• J.D. from a top law school with excellent academic performance.
• 3-5 years of experience in private investment funds or private equity fund formation at a leading law firm.
• Experience advising clients in private equity, venture capital, real estate, or technology fund industries.
• Proven ability to manage complex deal components and coordinate with internal and external stakeholders.
• Strong written and verbal communication skills.
• Bar admission in good standing (or eligibility to obtain admission promptly).
