We are offering a long-term contract employment opportunity for an Interim General Counsel in the IT Software industry, located in Minnetonka, Minnesota, United States. In this role, you will be responsible for handling various legal aspects, including client litigation, lender agreements review, and potential Mergers & Acquisitions activities.


Responsibilities:


• Handling client litigation matters, providing legal advice and support

• Reviewing lender agreements, identifying potential issues, and suggesting necessary amendments

• Providing legal advice on various matters, such as the interpretation of lender agreements

• Participating in renegotiation of terms with lenders to ensure alignment with business objectives

• Overseeing potential Mergers & Acquisitions activities, providing legal guidance and support

• Assisting in the process of finding potential buyers for the company, considering the owner's future plans.

• Must be a licensed attorney.

• J.D. from an accredited law school.

• Proven experience in the IT Software industry is essential for this role.

• The candidate must hold the job title of General Counsel or similar role in a previous position.

• Demonstrable skill in Litigation is a key requirement.

• The candidate must have substantial experience in handling Breach of Contract cases.

• Proficiency in Mergers & Acquisitions (M& A) is necessary for this position.
