Job Summary:
We are seeking a detail-oriented and experienced Corporate Paralegal who is a native Spanish speaker to join our legal team. The ideal candidate will have strong expertise in corporate governance, contract review, and administrative support, including drafting and reviewing annual minutes, overseeing annual filings, and managing contract renewals. This role requires excellent organizational skills, attention to detail, and the ability to work in a bilingual environment.
Key Responsibilities:
- Contract Management:
- Review, draft, and manage contracts, ensuring accuracy and compliance with company policies.
- Track contract renewals, expirations, and amendments, and maintain an organized contract database.
- Corporate Governance:
- Prepare and review annual minutes for board meetings and shareholder meetings.
- Assist in the drafting and filing of corporate documents, including resolutions and other governance records.
- Annual Filings:
- Coordinate and ensure timely submission of annual reports, registrations, and other required corporate filings in various jurisdictions.
- Maintain compliance with local, state, and federal corporate requirements.
- Bilingual Communication:
- Translate legal documents, contracts, and correspondence between Spanish and English as needed.
- Serve as a liaison for Spanish-speaking stakeholders, ensuring clear communication and understanding.
- Administrative Support:
- Maintain corporate records, including organizational charts, entity records, and compliance checklists.
- Assist with due diligence processes for corporate transactions.
- Research and Compliance:
- Conduct legal research related to corporate compliance and governance.
- Monitor regulatory updates and inform the legal team of changes affecting the business.
Qualifications:
- Experience:
- Minimum of 3-5 years of experience as a corporate paralegal or in a similar role.
- Experience in a bilingual (Spanish-English) legal environment is strongly preferred.
- Skills:
- Strong understanding of corporate governance, compliance, and contract management.
- Exceptional organizational and multitasking skills with acute attention to detail.
- Excellent written and verbal communication skills in both Spanish and English.
- Technical:
- Proficiency in legal and corporate management software.
- Advanced skills in Microsoft Office Suite (Word, Excel, PowerPoint).
- Attributes:
- Ability to work independently and collaboratively in a fast-paced environment.
- Professional demeanor with strong interpersonal skills.
Education:
- Bachelor’s degree or equivalent required.
- Paralegal certification from an ABA-approved program strongly preferred.
