Job Description

Ameresco, a leading cleantech integrator and renewable energy asset developer, owner, and operator, is seeking an experienced Assistant General Counsel to join its Corporate Legal team.

Position Overview:

This role will involve drafting complex contracts and providing legal counsel to the company's energy services and renewable energy business units. The successful candidate will report directly to the Executive Vice President and be responsible for:

  1. Negotiating contracts for energy services and renewable energy projects, and providing advice on the ongoing management of projects under construction or in operation.
  2. Drafting and reviewing contracts for professional services, energy services, and implementation services, as well as financing agreements and confidentiality agreements.
  3. Reviewing existing agreements to ensure compliance with all contract provisions and administering corporate policies and standards.
  4. Analyzing financial and contractual aspects of proposals, offers, and contracts.
  5. Collaborating with management to support risk management strategies related to insurance coverage, proper contract language, and development of policies and procedures.
  6. Identifying risk management issues for ongoing project management.
  7. Assisting in the resolution of construction-related issues with customers, contractors, and subcontractors.
  8. Assisting with corporate and subsidiary organization, governance, and maintenance.
  9. Reviewing and analyzing regulatory compliance matters.
  10. Performing other duties as assigned.
Requirements:
  1. A Master's degree in legal studies or J.D. or other advanced degree in the field.
  2. A minimum of 8 years of transactional legal experience in a corporate or commercial in-house legal function or law firm.
  3. Admission to practice in Massachusetts.
  4. Travel may be required from time to time.
Preferred Qualifications:
  1. Expertise in renewable energy project development.
  2. Excellent verbal and written communication skills while working with C-suite and board-level executives.
  3. Effectively and efficiently managing multiple priorities, including managing multiple enterprise contract negotiations.
  4. Strong business acumen, curiosity, and delivery-oriented attitude.
