About the Role

Cloud Capital is seeking a seasoned general counsel to provide legal support for a wide range of transactions, including real estate acquisition and development, corporate M&A/joint ventures, and debt finance. The successful candidate will have a minimum of 10 years of professional experience in a top-tier law firm or similar environment, with strong technical legal knowledge and experience supporting construction and development.

Key Responsibilities
  • Provide legal support and instruct external counsel on transactions, including real estate acquisition and development, corporate M&A/joint ventures, and debt finance.
  • Ensure compliance with loan requirements and provide expert and strategic legal advice to executives, senior management, and staff.
  • Manage external advisors, including liaising with specialist international legal, finance, and tax advisers where appropriate.
  • Ensure high standards of corporate governance, compliance, and risk management required for a registered investment advisor.
Requirements
  • A Juris Doctor from an ABA-accredited law school.
  • Current member of the State Bar Association.
  • A minimum of 10 years of professional experience gained in the corporate team of a top-tier law firm or similar environment.
  • Strong, up-to-date technical legal knowledge in relevant areas.
  • Significant experience of transactional work and processes and requirements from a corporate real estate, real estate finance, or corporate M&A/private equity background.
