Corporate Attorney

As a Legal Counsel at The Wendy's Company, you will provide ongoing legal advice and support to the organization, focusing on corporate and securities law matters, proxy materials, annual stockholders meetings, and corporate governance. You will lead and support the company's proxy statement and annual stockholders meeting process, ensuring compliance with disclosure requirements and coordination with internal and external stakeholders.

1. Provide legal advice and services regarding corporate and securities law compliance, including 33 and 34 Act filings and compliance, investor relations, and corporate governance matters.
2. Lead and support the company's proxy statement and annual stockholders meeting, including drafting, compliance with disclosure requirements, and coordination with internal and external stakeholders.
3. Provide legal advice and services to the Board of Directors and its committees, including preparation of agendas, pre-read materials, resolutions, and minutes for Board and committee meetings.
4. Review and negotiate contracts and engagement letters for Treasury, Accounting, Finance, Tax, and Human Resources Departments.
5. Corporate and securities law matters, including 34 Act filings, investor communications, proxy materials, and annual stockholders meeting matters.

• Undergraduate Degree, Juris Doctor Degree, and licensed to practice law in at least one state.
• 3-6 years of practice advising public companies on corporate and securities law matters, proxy materials, annual stockholders meetings, corporate governance, and general corporate matters.
• Experience in performing or advising on corporate finance, executive compensation, and equity plan matters, and corporate secretary functions.
• Experience with contract reviews and negotiations.

A bonus of up to 20% of base salary paid out annually.
