Job Overview:

We are seeking a highly motivated Chief Compliance Officer to join our founding Senior Leadership Team. As a key member of our founding team, you will play an instrumental role in building and growing the operations of Kingston. You will work on a variety of legal- and compliance-related matters involving the business. Primary areas of responsibility include:

  • Overseeing the SEC registration of new registered investment advisers focused on infrastructure investing, including filing initial Form ADV
  • Developing and implementing a compliance program, including creating a full suite of tailored policies and procedures
  • Creating, fostering, and overseeing the firm's culture of compliance
  • Conducting risk assessments and compliance reviews to identify potential risk areas and conflicts of interest; conducting annual compliance reviews
  • Ensuring compliance with the SEC's Marketing Rule with respect to all marketing materials (e.g., pitchbooks, DDQ responses, website)
  • Overseeing anti-bribery & corruption programs with respect to investors and investments
  • Developing training programs to educate employees on compliance-related topics
  • Primary point of contact with regulators with respect to any regulatory inquiries, e.g., examinations, investigations, routine inquiries
  • Overseeing regulatory filings (e.g., Form ADV, Form PF, Sections 13 and 16 filings as necessary)
  • Attending investor due diligence meetings
  • Staying current with respect to industry trends and changes to all applicable U.S. and international laws, rules, and regulations

Qualifications:

  • Excellent interpersonal and communication skills, both written and verbal; must be able to meet face-to-face with senior business leaders and address issues in a competent and timely manner

  • Ability to manage, prioritize, and follow through on numerous projects simultaneously
  • Must be articulate and self-motivated
  • The ability to work with colleagues to devise pragmatic and creative solutions

  • Provide a timely response to general questions from internal colleagues
  • Evaluate existing compliance systems with respect to current regulatory requirements
  • Investigate, resolve, and document compliance-related issues
  • Read, analyze, and interpret industry periodicals, professional journals, technical procedures, and industry regulations
  • Ability to effectively present information to groups of peers and managers
  • Debt and/or infrastructure financing/transaction experience is a plus
  • An understanding of investment instruments and assets (e.g., private securities, infrastructure, energy, and other real assets) is a plus

Education and Experience:

  • Bachelor's degree required; law degree preferred
  • A minimum of 7-10 years in-house, buy-side compliance experience at an SEC-registered investment adviser; private equity experience preferred (experience with infrastructure investing ideal)
  • Fund formation experience also helpful

Location:

  • Candidate must be willing to work in Miami or New York full-time on a hybrid basis, in-person at our offices 2-3 days per week.
