Key Responsibilities:

As a Tax Associate Attorney, your primary duties will include:

1. Offering comprehensive tax advice on intricate transactions, including mergers and acquisitions, joint ventures, private capital, and financing arrangements.
2. Drafting and reviewing tax-related documents and agreements pertinent to corporate transactions.
3. Advising clients on the tax ramifications of partnerships and pass-through entities.
4. Participating in the structuring and establishment of investment funds.
5. Collaborating with the broader legal team to devise and implement tax-efficient frameworks.
6. Keeping updated on changes in tax legislation and regulations that may impact the organization and its clients.
7. Assisting in the resolution of tax disputes and controversies.

Qualifications:

To qualify for this position, candidates must possess the following:

1. Juris Doctorate (JD) from an accredited law institution.
2. An advanced degree in Taxation (LLM) is highly preferred.
3. A minimum of five years of experience in corporate law, focusing on transactional tax issues.
4. Extensive experience with corporate transactions, mergers and acquisitions, joint ventures, financing transactions, and partnerships.
5. Proven expertise in working with private capital and investment funds.
6. In-depth understanding of pass-through entities and their tax implications.
7. Exceptional analytical, negotiation, and communication skills.
8. Strong organizational abilities, capable of managing multiple projects and meeting deadlines.
9. Admission to the state bar.
10. Ability to work independently as well as collaboratively within a team.
