Job Title: AVP, Senior Attorney - Compensation & Benefits

We are seeking an experienced Senior Attorney to join our Compensation & Benefits team as an AVP. This role will provide comprehensive advice and support on a broad range of compensation and benefits matters, including executive compensation, proxy disclosure, and employee benefits.

Responsibilities:
  • Provide expert advice on executive compensation plans, policies, and procedures, including equity and cash incentive plans, employment agreements, and separation agreements.
  • Assist in the preparation of annual proxy statements and other disclosure and reporting requirements.
  • Support the Compensation Committee and Board of Directors on compensation-related matters, including meeting materials, minutes, and administrative processes.
  • Counsel on shareholder engagement activities and compensation and benefits aspects of international operations and corporate transactions.
  • Stay up-to-date on emerging legal developments, market trends, and practices related to executive compensation and employee benefits.
Requirements:
  • JD and 10+ years of relevant legal practice, including large law firm experience and prior in-house public company experience.
  • Subject matter expert in executive compensation and employee benefits law with significant related experience in corporate governance, public company disclosure, and employment law matters.
  • Strong academic credentials and excellent communication and presentation skills.
  • Ability to stay abreast of emerging legal developments, market trends, and practices related to executive compensation and employee benefits.
