Corporate Counsel Job Description

We are seeking a highly skilled Corporate Counsel to join our team at Microsoft Corporation.

About the Role:

The Corporate Counsel will serve as the primary legal contact for assigned clients, executing routine to moderate-impact legal matters and providing support to higher-level attorneys.

Key Responsibilities:

  • Provide legal advice and counsel to clients on various matters, including privacy, intellectual property, and regulatory compliance.
  • Identify and anticipate legal risks in clients' business, technology, and public policy, and propose solutions to mitigate future risk.
  • Interact with outside counsel or other service providers to address and resolve project-specific issues.
  • Structure, draft, and negotiate transactional documents, such as standard agreements with third parties.
  • Conduct, review, interpret, and analyze legal information, maintaining a basic understanding of legal principles within their primary legal practice area.
  • Monitor business activity to ensure legal compliance policies/standards are followed, advising and helping clients understand compliance issues, identifying risks, and offering solutions.
  • Identify and engage appropriate stakeholders in Legal and Corporate Affairs and business to escalate issues.

Requirements:

  • Juris Doctor Degree or international equivalent degree.
  • 1+ year(s) experience as a practicing attorney.
  • Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.

Preferred Qualifications:

  • Juris Doctor Degree or international equivalent degree and 2+ years experience as a practicing attorney.
  • 1+ year(s) experience as an attorney in specialized practice area (e.g., tax, employment, copyright).

Compensation:

The typical base pay range for this role across the U.S. is USD $103,800 - $200,300 per year. There is a different range applicable to specific work locations, within the San Francisco Bay area and New York City metropolitan area, and the base pay range for this role in those locations is USD $133,700 - $219,200 per year.
