About the Role:
The Assistant General Counsel will provide support for M&A transactions, including deal structure, due diligence, and agreement drafting and negotiation. This role will also assist with SEC report preparation, corporate governance matters, and other tasks as needed.

Key Responsibilities:
• Provide timely and practical legal advice to the company's business leaders.
• Develop and maintain strong partnerships with management and other internal stakeholders.
• Assist with the preparation of SEC reports, including Forms 10-K, 10-Q, 8-K, and SD, proxy statements, and Section 16 reports.
• Support management and the Corporate Secretary in preparing for Board and committee meetings.

Requirements:
• Law degree from an accredited law school in the United States.
• Minimum of four years experience advising on M&A issues with a reputable law firm.
• Strong work ethic and high ethical standards.
• Strong written and verbal communication skills, including the ability to present complex issues in a clear and concise manner.
