US Foods, Inc. is seeking a highly skilled Senior Counsel for Corporate and Securities to oversee legal compliance and reporting for a public company. As a key member of the legal team, this role will focus on securities law and corporate governance, managing public company disclosures, advising on compliance with regulatory requirements, and supporting transactional activities such as mergers and acquisitions.

The ideal candidate will possess a minimum of 5 years of experience in corporate securities law, complex commercial transactions, and at least 3 years in an in-house public company or large law firm environment. Required skills include exemplary relationship building, negotiation, drafting, and problem-solving skills; ability to manage complex matters with executive management and board level stakeholders.

This role requires a deep understanding of securities laws, including Sarbanes-Oxley and Dodd-Frank regulations, and the ability to provide counsel on insider trading compliance, disclosure policies, and other SEC-related regulatory matters. The successful candidate will work closely with finance, investor relations, and external advisors to ensure accurate and timely disclosure of financial and non-financial information.

Responsibilities:
  • Securities Law Compliance and Reporting
    • Oversee and manage all public company reporting and disclosure obligations, including the preparation and filing of Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reports.
    • Ensure compliance with federal and state securities laws, including Sarbanes-Oxley and Dodd-Frank regulations.
    • Provide counsel on insider trading compliance, disclosure policies, and other SEC-related regulatory matters.
  • Corporate Governance
    • Advise management on corporate governance best practices, fiduciary duties, and shareholder relations.
    • Manage corporate governance documentation, including drafting board resolutions, charters, bylaws, and preparing materials for board and committee meetings.
  • Transactional and Strategic Support
    • Lead legal aspects of capital markets transactions, including public and private equity and debt offerings, stock repurchase programs, and other financing activities.
    • Provide legal support for mergers, acquisitions, joint ventures, and other strategic transactions.

The salary for this role is estimated to be between $110,000 and $180,000 per year, depending on relevant experience and qualifications. Additional benefits include annual incentive plan bonuses, long-term incentives, health insurance, pre-tax spending accounts, retirement benefits, paid time off, short-term and long-term disability, employee stock purchase plan, and life insurance.
