US Foods, Inc. is seeking a seasoned Corporate Securities Lawyer to join our team.

The role of Corporate Securities Lawyer entails overseeing compliance with securities laws, managing public company reporting, and advising on corporate governance best practices. This position involves leading legal aspects of capital markets transactions and collaborating with internal and external stakeholders to ensure regulatory compliance and support strategic initiatives.

This Corporate Securities Lawyer will be responsible for:

  • Overseeing and managing all public company reporting and disclosure obligations, including the preparation and filing of Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reports.
  • Ensuring compliance with federal and state securities laws, including Sarbanes-Oxley and Dodd-Frank regulations.
  • Providing counsel on insider trading compliance, disclosure policies, and other SEC-related regulatory matters.
  • Working with finance, investor relations, and external advisors to ensure accurate and timely disclosure of financial and non-financial information.

This Corporate Securities Lawyer will advise management on corporate governance best practices, fiduciary duties, and shareholder relations. They will also manage corporate governance documentation, including drafting board resolutions, charters, bylaws, and preparing materials for board and committee meetings.

The expected salary range for this role is between $110,000 and $180,000 per year, depending on relevant experience and qualifications.

This role offers an attractive compensation package, including an annual incentive plan bonus and long-term incentives, as well as benefits such as health insurance, pre-tax spending accounts, retirement benefits, paid time off, short-term and long-term disability, employee stock purchase plan, and life insurance.

Minimum requirements include:

  • A Juris Doctor degree from a highly regarded institution.
  • Licenses to practice law in good standing under the Bar of any state that enables admission to practice as in-house counsel.
  • At least 5 years of experience in corporate securities law, complex commercial transactions, and at least 3 years in an in-house public company or large law firm environment.

Required skills include exemplary relationship building, negotiation, drafting, and problem-solving skills; ability to manage complex matters with executive management and board level stakeholders.
