Job Title: Assistant General Counsel

OneEnergy Inc is seeking an experienced Assistant General Counsel to join our team. As a key member of our legal department, you will provide expert legal advice and guidance to our organization, assisting the General Counsel in overseeing all legal matters.

Responsibilities:
  • Review, draft, and negotiate various contracts, agreements, and legal documents, including asset purchase and sale agreements, construction loan agreements, and vendor contracts.
  • Identify legal risks and develop strategies to mitigate them, collaborating with the General Counsel and cross-functional teams.
  • Assist in managing litigation matters, including coordinating with external counsel, gathering relevant information and documents, and providing support throughout the litigation process.
  • Support corporate governance initiatives, including regulatory filings, and compliance with corporate policies and procedures.
  • Assist in managing intellectual property matters, including trademarks, patents, copyrights, and trade secrets, to protect the organization's assets.
  • Develop and deliver legal training programs to employees to enhance awareness of legal risks and obligations.
  • Lead the preparation and negotiation of project acquisitions, and other strategic transactions, including due diligence and integration efforts.
  • Assist in developing and updating company project development, project finance, and other transaction-related policies and procedures.
  • Provide general legal support and assistance to the legal department and other business units as needed.
Qualifications:
  • Juris Doctorate from a nationally accredited law school and admitted to practice law with a state bar association.
  • 8+ years of experience in practicing renewable energy project development, project finance, and corporate law, with a focus on project acquisitions and sales and general project development activities.
  • Experience in preparing and negotiating a wide variety of renewable energy project development, project finance, and asset purchase and sale agreements.
  • Strong understanding of corporate governance principles, regulatory requirements, and corporate finance industry best practices.
  • Excellent negotiation, communication, and interpersonal skills, with the ability to collaborate effectively with internal and external collaborators.
  • Must demonstrate a high degree of time management and organizational skills resulting in the ability to prioritize/manage multiple projects at various stages of delivery.
