Key Responsibilities:

  • Formulate and structure various business entities and joint ventures, including but not limited to limited liability companies, corporations, and professional entities.
  • Draft and review essential governing documents, including buy-sell agreements and resolutions.
  • Manage the lifecycle of business entities, including mergers, conversions, and terminations, ensuring compliance with all legal requirements.
  • Negotiate and draft asset and entity purchase agreements, financing documents, and related transactional paperwork.
  • Oversee real estate investments and partnerships, with a focus on deal structuring and tax implications.
  • Conduct thorough due diligence and strategic analysis for a variety of corporate and commercial transactions.
  • Prepare and negotiate complex commercial contracts, including NDAs, MSAs, and purchase agreements.

Compensation and Benefits:

We offer a competitive salary of up to $260K, along with a comprehensive benefits package that includes health insurance and a robust 401K plan. Performance-based bonuses are also available.

Qualifications:

  • Juris Doctor (J.D.) degree from an accredited institution.
  • Admission to the Bar in the relevant jurisdiction.
  • A minimum of 5 years of experience in corporate law, particularly in transactional matters.
  • Strong academic credentials from a reputable law school.
  • Proficient in managing daily corporate transactions and ensuring compliance with relevant regulations.
