We are seeking a highly skilled Tax Attorney with a focus on Mergers and Acquisitions to join our team. This role is ideal for individuals with a robust understanding of corporate tax law and a desire to transition from traditional law firm environments to a dynamic corporate setting.


Key Responsibilities:
  • Collaborate with business owners, investors, legal advisors, and financial executives to mitigate tax risks associated with mergers and acquisitions.
  • Conduct thorough evaluations of contractual and financial documents for companies engaged in M&A transactions, ensuring adequate Representations and Warranties Insurance coverage for tax-related risks.
  • Provide support in safeguarding against negative tax implications arising from corporate transactions.
  • Analyze and offer guidance on various tax matters, including renewable energy tax incentives, tax-free spin-offs, S-Corporation challenges, and employee retention credits.
  • Review and assess tax risks, analyze legal opinions, and identify necessary information to validate tax positions.
  • Conduct comprehensive due diligence assessments, identifying operational risks and potential issues in M&A activities.
  • Engage in negotiations to develop and refine insurance contract language.

Qualifications:
  • Juris Doctor (JD) or Master of Laws (LLM) in Taxation with a minimum of 4 years of experience in corporate tax law.
  • Extensive knowledge of corporate tax regulations and practices.
  • Proven ability to evaluate the accuracy of representations and warranties in M&A transactions.
