We are seeking a highly skilled Corporate Paralegal to join our team at US Foods, Inc. As a Corporate Paralegal, you will play a critical role in supporting the organization of shareholder and board meetings, preparing corporate governance documents, and managing SEC filings.
This is a hybrid work opportunity that offers a combination of onsite and remote work, with three onsite days per week. You will be responsible for coordinating preparation and distribution of shareholder, board, and committee meeting materials using Diligent. You will also assist with all SEC filings, including periodic reports, Proxy Statements, Section 16 reports, and NYSE reporting obligations.
In this role, you will have the opportunity to work closely with senior management and directors, providing support for certain SEC and NYSE requirements related to director and management equity. You will be responsible for drafting and maintaining equity agreement templates, deferred equity arrangements, and working with the company's stock plan administrator and transfer agent.
Additionally, you will be responsible for formation and dissolution of corporate entities, general subsidiary maintenance, and establishing and maintaining a document management system for all corporate entities. You will manage Board and officer administration matters, overseeing the payment of non-employee director compensation, preparing and recording annual Director and Officer Questionnaires, and maintaining biographies and contact information.
This role requires a minimum of ten years of related paralegal experience, with a minimum of ten years of public company and securities experience. You must be organized, detail-oriented, and proactive, with the ability to maintain confidentiality and professionalism while interacting with directors and senior management.
The estimated salary for this role is between $90,000 and $110,000 per year, depending on relevant experience and education. This role will also receive an annual incentive plan bonus. To succeed in this role, you must have strong verbal and written communication skills, the ability to maintain a high rate of accuracy and production under deadlines in a fast-paced environment. You must be proficient in Microsoft Office tools, Workiva, Diligent, PDF writer, and other software tools.
