About the Role

Abnormal Security is seeking a highly skilled Commercial Counsel to join our legal team. As a key member of our team, you will play a critical role in supporting our business growth and ensuring that our commercial activities are conducted in a compliant and efficient manner.

The ideal candidate will have a strong background in commercial law, with experience in negotiating and drafting contracts, as well as a proven track record of working effectively with cross-functional teams. You will be responsible for providing strategic legal advice to our business stakeholders, identifying and mitigating commercial risks, and ensuring that our contracts and agreements are aligned with our business objectives.

Key Responsibilities
  • Provide commercial legal advice to our business stakeholders, including sales, finance, and operations teams
  • Negotiate and draft contracts, including NDAs, software licensing agreements, and commercial order forms
  • Collaborate with internal financial teams to ensure that our contracting guidelines and policies are aligned with our revenue recognition targets
  • Develop and maintain commercial legal playbooks, including training materials and self-service guides for our sales team
  • Manage deal flow and relationships with outside counsel, including efficient use and management of outside counsel for load balancing
  • Assist with contract legal and operational risk audit monitoring strategy, including identifying and mitigating key risks and contract clauses/attributes
  • Collaborate on the design, build, and maintenance of commercial transacting workflows in our CLM platform
Requirements
  • JD/US law degree and bar admission in good standing in at least one US state
  • 5+ years combined law firm and in-house legal department experience
  • Substantial experience negotiating B2B SaaS and software license agreements, vendor/supplier contracts, and reseller agreements for technology companies
  • Proven success working effectively across business units and internal functions to efficiently resolve complex business and risk management issues
  • Familiarity working across the globe, to support multiple time zones and cultures
  • Prior experience working as a business partner with GTM facing and GTM adjacent teams and committed to strategic differentiation and high quality execution
