Corporate Lawyer

Wendy's is seeking a highly skilled Legal Counsel to join our team. As a key member of our legal department, you will provide ongoing legal advice and support to our business operations.

• Provide legal advice and services regarding corporate and securities law compliance for Wendy's and its subsidiaries.
• Lead and support the Company's proxy statement and annual stockholders meeting process from end-to-end.
• Provide legal advice and services to the Board of Directors and its committees, including preparation of agendas, pre-read materials, resolutions, and minutes for Board and committee meetings.
• Review and negotiate contracts and engagement letters for Treasury, Accounting, Finance, Tax, and Human Resources Departments.
• Support corporate finance activities, including whole-business securitization financing facility and subsidiary credit facilities.

• Undergraduate Degree, Juris Doctor Degree, and licensed to practice law in at least one state.
• 3-6 years of practice advising public companies on corporate and securities law matters, proxy materials, annual stockholders meetings, corporate governance matters, and general corporate matters.
• Experience in performing or advising on corporate finance, executive compensation, and equity plan matters, and corporate secretary functions.
• Experience with contract reviews and negotiations.

A bonus of up to 20% of base salary that is paid out annually.

Travel: 10%

Pay Range: $114,000 - $200,000 Annually
