Job Description

This is a unique opportunity to join Freshworks as a Corporate and Securities Attorney, reporting directly to the Chief Legal Officer. The successful candidate will be responsible for handling a wide range of corporate and securities matters related to the growth, operation, and further development of this global publicly traded corporation.

Responsibilities:
  • Advise on a broad range of securities laws and corporate governance matters to ensure compliance with legal requirements and company policies.
  • Prepare and review periodic reports, earnings materials, proxy statements, and other filings required by the SEC and Nasdaq.
  • Administer policies and procedures to ensure compliance with Sarbanes-Oxley, Nasdaq regulations, SEC regulations, and other regulatory requirements.
  • Manage the planning and execution of the virtual annual stockholder meeting.
  • Work cross-functionally to assist in preparing Board of Directors and committee meeting materials.
  • Maintain corporate minute books and records for both parent and subsidiary entities.
  • Support subsidiary governance and legal entity management operations globally.
  • Assist with corporate governance matters, including overall corporate compliance training programs, whistleblower policies, ESG initiatives, and other key corporate initiatives.
  • Monitor corporate governance best practices and regulatory and legislative developments.
  • Partner with Finance, Treasury, Corporate Development, Tax, HR, and across other Legal and Business teams on a variety of projects and compliance processes.
  • Support M&A, corporate transactions, and complex strategic initiatives.
  • Work closely with the VP, Legal and Business Affairs on general commercial and legal operations.
Qualifications:
  • Juris doctorate degree from an accredited law school and active state bar membership in good standing.
  • 12+ years of relevant experience practicing with national law firm, with at least 5 years in-house experience at public-traded technology companies.
  • Strong securities and corporate governance experience, along with an understanding of financial statements and equity plans.
  • High level of business acumen and problem-solving skills.
  • Demonstrated experience in providing strategic legal leadership and contributions to lead or influence operational process, procedure, and strategy.
  • Excellent interpersonal and communication skills.
  • Ability to work independently and collaboratively across all levels of an organization.
