Corporate Lawyer Position at Wolters Kluwer United States Inc.

We are seeking a highly skilled Corporate Lawyer to join our team at Wolters Kluwer United States Inc. in a Corporate Performance and Environmental, Social, and Governance (CP & ESG) business unit. The ideal candidate will provide expert legal advice on commercial and contractual matters related to our TeamMate products.

Key Responsibilities:
  • Provide strategic legal counsel on corporate, commercial, privacy, and regulatory matters.
  • Structure, draft, and negotiate complex agreements.
  • Educate business teams on contract best practices and risks, ensuring compliance with industry standards.
  • Stay up-to-date on legal developments affecting CP & ESG, identifying potential risks and opportunities.
  • Collaborate closely with the Global Law and Compliance Department to ensure seamless integration of legal expertise.
  • Effectively manage outside counsel to optimize resources and achieve business objectives.
  • Drive process standardization and automation to improve efficiency and reduce costs.
  • Develop a deep understanding of CP & ESG's business and regulatory environment, providing informed guidance to stakeholders.
  • Support M&A, regulatory, employment, and litigation teams to ensure comprehensive legal coverage.
  • Perform other assigned tasks as required.
Requirements:
  • Bachelor's and J.D. degree with state law practice admission.
  • 2-5 years of corporate/commercial legal experience, preferably in a similar industry.
  • Strong legal acumen and analytical skills, with the ability to analyze complex data and provide actionable insights.
  • Experience in drafting and negotiating agreements, with a focus on commercial and contractual matters.
  • Knowledge of privacy laws, including GDPR, and ability to apply this knowledge in a practical context.
  • Excellent communication and change management skills, with the ability to effectively communicate with diverse stakeholders.
  • Integrity, ethics, and a proactive attitude, with a commitment to upholding the highest standards of professionalism.
  • Ability to handle multiple projects under pressure, prioritizing tasks and managing deadlines effectively.
  • Strong interpersonal and teamwork skills, with the ability to build and maintain effective relationships with colleagues and external partners.
