We are currently seeking a dynamic and highly-skilled Senior Corporate Attorney to join our legal department. This role requires a seasoned professional with substantial experience in handling complex corporate legal matters.

The successful candidate will be responsible for providing legal advice on a wide range of corporate issues such as mergers and acquisitions, technology agreements, and secured financing transactions.

This position offers an exciting opportunity to be a part of a fast-paced, challenging environment where you will be able to make significant contributions to the organization.

Key Responsibilities:

  • Provide expert and strategic legal advice to management on corporate matters.
  • Draft, negotiate, and review complex commercial contracts, including technology agreements.
  • Lead the legal aspect of mergers and acquisitions, including due diligence, negotiation, and drafting of relevant documentation.
  • Oversee secured financing transactions, ensuring compliance with relevant laws and regulations.
  • Advise on corporate governance and other compliance issues.

Requirements:

  • Juris Doctorate (JD) degree from an accredited law school.
  • Active member of the Maryland Bar.
  • Minimum of 7 years of experience as a Corporate Attorney, with a focus on mergers and acquisitions, technology agreements, and secured financing transactions.
  • In-depth understanding of how legal issues affect organizations.
  • Ability to develop legal strategy and objectives.
  • Ability to handle workflow from a partner independently with minimum oversight.
