Position Overview:
Midwest Goods is in search of a seasoned and proficient Chief Legal Officer to oversee our legal operations. The successful candidate will deliver strategic legal guidance to the executive leadership and manage all legal dimensions of the organization, encompassing regulatory adherence, contract management, intellectual property rights, and litigation oversight. A comprehensive understanding of the vape sector and its regulatory framework is essential for this role.
Key Responsibilities:
1. Legal Guidance:
- Offer strategic legal counsel to senior management on diverse legal issues.
- Formulate and execute legal strategies to safeguard the company's interests and ensure adherence to applicable laws.
- Evaluate the legal ramifications of the company's operations, ensuring compliance and effective risk management.
2. Compliance Oversight:
- Guarantee the company's compliance with all relevant federal, state, and local regulations in the vape industry.
- Stay informed on legislative changes impacting the business and provide necessary recommendations.
- Engage with regulatory agencies and represent the company in compliance matters.
3. Contract Oversight:
- Draft, review, and negotiate various contracts, including supplier and partnership agreements.
- Ensure contracts align with the company’s strategic goals while minimizing risks.
- Manage disputes and negotiations to secure favorable outcomes.
4. Intellectual Property Management:
- Supervise the protection of the company's intellectual property assets, including trademarks and patents.
- Oversee the IP portfolio, ensuring timely filings and renewals.
- Enforce intellectual property rights through litigation or alternative dispute resolution.
5. Litigation Oversight:
- Manage all litigation matters involving the organization.
- Coordinate with external legal representatives as needed.
- Develop strategies to mitigate litigation risks and resolve disputes effectively.
6. Corporate Governance:
- Advise on corporate governance issues and ensure compliance with governance policies.
- Assist in the preparation and management of board meetings, including documentation.
- Maintain corporate records and filings appropriately.
7. Risk Assessment:
- Identify and mitigate legal risks related to the company's operations.
- Develop and implement policies to manage and reduce risk.
- Conduct regular assessments to identify potential legal challenges.
Qualifications:
- Juris Doctor degree from an accredited institution.
- Active bar membership in the relevant jurisdiction.
- At least 10 years of legal experience, preferably in the vape or related sectors.
- Demonstrated expertise in regulatory compliance, contract negotiation, and litigation management.
- Strong analytical, negotiation, and communication skills.
- Ability to collaborate effectively with cross-functional teams.
- High ethical standards and integrity.
Preferred Qualifications:
- Experience in a corporate legal environment or as in-house counsel.
- Knowledge of international regulations related to the vape industry.
- Experience with corporate governance and board relations.
- Familiarity with product liability and consumer protection laws.
Work Environment:
This position operates in a professional office setting and requires the use of standard office equipment.
