Job Title: Vice President, Chief Corporate Governance and Securities Counsel; Assistant Corporate Secretary

Chemours is seeking a highly experienced and skilled Vice President, Chief Corporate Governance and Securities Counsel; Assistant Corporate Secretary to join our Legal team. This role will be based at our corporate headquarters in Wilmington, DE, and will report directly to the Senior Vice President, General Counsel & Corporate Secretary.

Key Responsibilities:
  • Provide day-to-day leadership for the Office of the Corporate Secretary and serve as lead counsel to the corporate finance organization.
  • Lead the Office of the Corporate Secretary team on driving execution each year for the annual shareholders meeting.
  • Support the General Counsel and Corporate Secretary and Executive Management on all board governance matters.
  • Provide legal, corporate, and governance support for the company's subsidiary management program.
  • Work with functional teams on US disclosure matters as lead securities counsel.
  • Lead counsel on all debt and equity capital markets transactions and credit facilities.
  • Establish and maintain a strong business partnership with the financial reporting group, investor relations, corporate and regional finance, and legal teams.
  • Develop and implement legal strategy, global best practices, templates, tools, and associated policies.
  • Guide business leaders on legal issues arising from securities issues and provide practical business-oriented legal solutions.
Requirements:
  • Juris Doctor and active bar license in good standing in at least one state.
  • 15+ years of experience in securities law, with a focus on SEC reporting and compliance within a top-tier international law firm and/or a large public multi-national company.
  • Strong knowledge of SEC regulations, corporate governance principles, and best practices.
  • Proven track record of successfully managing SEC filings, corporate transactions, and advising on complex securities matters.
  • Experience with capital and credit markets and financing agreements and familiarity with financial statements, accounting, and tax matters.
  • Self-motivated, flexible, and efficient working style with the ability to manage complex projects with competing priorities in a fast-paced environment.
  • Strategic thinking and strong business acumen.
  • Quality-oriented with a focus on detail and the ability to identify and resolve issues independently.
  • Excellent communication and interpersonal skills with the ability to translate legal issues into identifiable and understandable business risks.
