Job Title: Corporate Paralegal

Hamilton Lane is seeking a highly skilled Corporate Paralegal to join our team. As a key member of our Legal group, you will provide critical support to our attorneys in the areas of corporate governance, compliance, and regulatory affairs.

Key Responsibilities:
  • Assist attorneys with various corporate matters, including fund documents, regulatory filings, and corporate resolutions.
  • Prepare formation and governing documentation for new entities.
  • Communicate with clients, fund investors, outside counsel, and Hamilton Lane's business units regarding status and timing of closings.
  • Post-closing organization and management of transaction documents.
  • Serve as a point of contact to provide transaction and other legal documents to other departments in Hamilton Lane and outside service providers.
  • Assist business personnel with research and data gathering projects in support of client and prospect presentations.
  • Maintain corporate records of Hamilton Lane fund entities.
  • Prepare and maintain electronic files of closing documents for Hamilton Lane funds.
  • Prepare filings and maintain registrations of Hamilton Lane companies in foreign countries.
  • Special projects as required.
Requirements:
  • Paralegal training (certificate) and minimum two years of work experience in a legal environment, preferably a corporate department of a reputable law firm or in-house legal department.
  • Ability to review and draft legal documentation and to identify certain issues independently.
  • Excellent verbal and written communication skills.
  • Extremely detail-oriented and organized.
  • Proficient in MS Office applications (Word, Excel, PowerPoint) and Adobe Pro.
  • Ability to interface effectively with clients, peers, and counterparties.
  • Ability to simultaneously manage many assignments and quickly shift focus from one project to another as circumstances dictate.
  • Ability to work effectively and independently in a demanding, fast-paced environment.
  • Must be eligible to work in the United States without requiring sponsorship.
