About the Position:

Adeia is in search of a skilled transactional attorney with a background in patent licensing to assist with outbound licensing and various commercial activities. As the company expands, we are looking for a seasoned, enthusiastic, and proactive team player to join our Legal team.

Key Responsibilities:

  • Draft and negotiate complex domestic and international licensing agreements, taking into account various related legal, business, and financial considerations.
  • Prepare and negotiate inbound licensing agreements, non-disclosure agreements, and strategic partnership contracts.
  • Collaborate effectively with internal teams across sales, legal, and finance departments.
  • Act as a strategic business partner capable of providing practical legal advice, leading negotiations, and finalizing intricate commercial agreements.
  • Ensure compliance with and contribute to the development of internal policies related to the licensing program, playing a pivotal role in enhancing the licensing framework.

Qualifications / Experience:

  • J.D. from an accredited law school and licensed to practice law in at least one jurisdiction.
  • 5+ years of experience in drafting and negotiating licensing agreements.
  • Experience in supporting intellectual property acquisition transactions, technology licenses, and other procurement agreements is preferred.
  • Exceptional skills in contract drafting and negotiation.
  • A business-oriented lawyer with the ability to translate business requirements into contractual language, demonstrating creativity in resolving business challenges.
