We are seeking a seasoned Corporate Securities Attorney to join our team at US Foods, Inc.

About the Role

This is an exceptional opportunity for a highly skilled attorney to manage securities law compliance and reporting for public companies. The successful candidate will be responsible for overseeing and managing all public company reporting and disclosure obligations, including the preparation and filing of Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reports.

The ideal candidate will have expertise in corporate governance, securities transactions, and regulatory affairs. They will advise management on corporate governance best practices, fiduciary duties, and shareholder relations, while ensuring compliance with federal and state securities laws, including Sarbanes-Oxley and Dodd-Frank regulations.

In addition to their technical skills, the successful candidate will possess excellent relationship-building, negotiation, drafting, and problem-solving skills. They will work closely with cross-functional teams, external advisors, and stakeholders to ensure accurate and timely disclosure of financial and non-financial information.

Responsibilities
  • Securities Law Compliance and Reporting
  1. Oversee and manage all public company reporting and disclosure obligations.
  2. Ensure compliance with federal and state securities laws, including Sarbanes-Oxley and Dodd-Frank regulations.
  3. Provide counsel on insider trading compliance, disclosure policies, and other SEC-related regulatory matters.
  4. Work with finance, investor relations, and external advisors to ensure accurate and timely disclosure of financial and non-financial information.
Corporate Governance
  1. Advise management on corporate governance best practices, fiduciary duties, and shareholder relations.
  2. Manage corporate governance documentation, including drafting board resolutions, charters, bylaws, and preparing materials for board and committee meetings.
  3. Monitor and advise on evolving regulatory requirements affecting corporate governance and develop strategies to ensure compliance.
Transactional and Strategic Support
  1. Lead legal aspects of capital markets transactions, including public and private equity and debt offerings, stock repurchase programs, and other financing activities.
  2. Provide legal support for mergers, acquisitions, joint ventures, and other strategic transactions, including conducting due diligence, negotiating transaction agreements, and managing closings.
  3. Work closely with cross-functional teams on transaction strategy, timelines, and integration planning.
Requirements
  • Minimum 5 years of experience in corporate securities law, complex commercial transactions, and at least 3 years in an in-house public company or large law firm environment.
  • Required skills include exemplary relationship building, negotiation, drafting, and problem-solving skills; ability to manage complex matters with executive management and board level stakeholders.
  • Demonstrated success in managing public company reporting, corporate governance, and securities transactions.
  • Minimum travel - approximately 10%.
Salary and Benefits

The expected base rate for this role is between $110,000 and $180,000 per year, depending on relevant experience and/or education, specific skills, function, geographic location, and other factors as applicable by law.

This role also receives an Annual incentive plan bonus and a Long-Term Incentive. Benefits for this role may include health insurance, pre-tax spending accounts, retirement benefits, paid time off, short-term and long-term disability, employee stock purchase plan, and life insurance.
