Overview

We are seeking a highly skilled and experienced attorney to join our Corporate Counseling & Transactions Unit (CC&T) as a Counsel for Technology Transactions. As a member of our team, you will play a critical role in advising on a variety of technology matters, including transactions for technology services, vendor contracts, and intellectual property ownership/licensing.

Our ideal candidate will have a strong background in transactional law, with a focus on technology-related agreements. You will work closely with our Enterprise Technology Department, Purchasing Department, and other business areas to provide expert legal advice and guidance on complex technology matters.

Responsibilities
  • Advise on legal issues related to transactions for technology services, including vendor contracts and intellectual property ownership/licensing.
  • Draft and negotiate a variety of technology agreements, including SaaS, PaaS, technology consulting, staff augmentation, and outsourcing agreements.
  • Assist in contract negotiation and serve as a counseling role, advising business areas on allocating business and legal risks associated with vendor relationships.
  • Work closely with our Enterprise Technology Department, Purchasing Department, and other business areas to provide expert legal advice and guidance on complex technology matters.
Requirements
  • J.D. from an ABA accredited law school and excellent academic credentials.
  • Active license to practice law in at least one state and a member in good standing of the bar.
  • Must be able to obtain a limited license in IL if not already appropriately licensed in IL.
  • Attorney with 3-6 years of transactional experience, preferably with experience or acumen in the technology area.
  • Commitment to providing quality legal advice, learning agility, and a history of enthusiastic participation in a team environment.
Additional Details
  • Other than as authorized by the General Counsel or her designee, employees are not permitted to handle any legal business outside of State Farm except authorized pro bono work.
  • Newly hired employees must cease all outside practice and all suit involvement before joining State Farm.
  • Travel may be required via commercial transportation or driving to job-related activities.
  • May work irregular hours due to workload and nature of work.
