Key Responsibilities:

  • Corporate Governance: Assist in the preparation and maintenance of corporate records, including board resolutions, minutes, and other governance documents. Ensure compliance with all applicable regulations and corporate policies.
  • Manage and Coordinate: Serve as the internal point of contact for all legal matters and determine when outside counsel is required.
  • Regulatory Compliance: Monitor and assist with compliance matters, filings regulatory bodies. Stay informed of changes in laws and regulations affecting the firm and its portfolio companies.
  • Contract Management: Draft, review, and negotiate various contracts, including NDAs, engagement letters, service agreements, and other legal documents.
  • Legal Research: Conduct legal research on various issues related to private equity, corporate law, and other relevant areas. Provide summaries and recommendations to the legal team.
  • Litigation Support: Assist in managing litigation matters, including gathering documents, coordinating with outside counsel, and tracking case progress.

Qualifications:

  • Education: Bachelor's degree and Paralegal certification
  • Experience: 6+ years of experience as a paralegal, with significant experience in private equity, corporate law, venture capital or a related field.
  • Assisting and supporting attorneys with research and document preparation for court proceedings and legal transactions.
  • Utilizing a variety of sources such as statutes, recorded judicial decisions, legal articles, and legal codes to research and analyze legal topics.
  • Drafting and editing legal documents such as briefs, pleadings, motions, and contracts.
  • Conducting fact-finding, data collection, and analysis used to prepare statements and arguments.
  • Assisting attorneys with depositions, interviews, discovery, and investigations.
  • Managing, organizing, and archiving documents with software tools and technology.
  • Appling specialized legal terminology appropriately in documents.
