Position Summary:
As part of the Global Commercial Organization, the Senior Counsel will deliver exceptional legal guidance and support to Western Digital's Worldwide Sales and Marketing Organization. This includes negotiating commercial agreements and collaborating with internal teams and external legal advisors. This full-time role offers a hybrid working model and will report to the Associate General Counsel of the Global Commercial Organization.

Key Responsibilities:

  • Draft, review, negotiate, and finalize commercial sales and customer contracts, including master purchasing agreements, distribution agreements, nondisclosure agreements, engagement letters, statements of work, amendments, and other legal documents.
  • Assist in responding to customer RFPs/RFQs by collaborating with various internal stakeholders.
  • Identify and advise internal clients on transaction-related risks, proposing practical and strategic risk mitigation strategies.
  • Oversee the work of contract administrators/managers within the Contract Management Organization.
  • Support various aspects of the contract management process, including the creation and enhancement of strategic playbooks, templates, and contract lifecycle management processes.
  • Engage in special projects as required.

Qualifications:

  • A minimum of 4 years of relevant transactional experience in a law firm or in-house/government legal department, with extensive expertise in drafting, reviewing, and negotiating agreements.
  • Current member in good standing of a U.S. State Bar or Registered In-house Counsel in California (or eligible), with a Juris Doctorate from an accredited law school or its equivalent.
  • Fluent in English, both written and verbal.
  • Working knowledge of U.S. consumer, antitrust, and intellectual property laws.
  • Ability to effectively identify objectives and communicate risks and proposed strategies with internal business clients.
  • Experience in or with technology companies or the technology sector.
  • Proven track record of delivering high-quality, timely results on a diverse range of contract matters and legal issues.
  • Self-motivated individual who takes ownership of tasks and demonstrates the ability to work both independently and collaboratively.

  • Self-driven, results-oriented, resourceful, enthusiastic, and possessing a good sense of humor.
  • Effective communicator in one-on-one and small group settings.
  • Willingness and ability to mentor less experienced counsel and/or contract administrators.

  • Ability to manage and prioritize multiple projects in a demanding environment while maintaining high-quality work.
  • Additional language skills are advantageous (preferably Mandarin, Japanese, German, Spanish, or French).
  • Familiarity with consumer, antitrust, and intellectual property laws in other major sales markets is a plus.
