Job Description: Senior Corporate Lawyer

This exciting opportunity is for a skilled Senior Corporate Lawyer to join our team at Wolters Kluwer United States Inc. in Tampa, FL. As a hybrid role, you will be required to attend meetings and conferences onsite as needed. The preferred office location is Tampa, FL, but we consider candidates who reside near other Wolters Kluwer U.S. offices.

Key Responsibilities:

  1. Provide comprehensive legal counsel on commercial and contractual matters, focusing on TeamMate products and services.
  2. Structure, draft, negotiate, interpret, manage, and enforce all types of agreements, including customer agreements and vendor agreements.
  3. Educate business teams about contract forms, recent best practices, common clause objections, commercial and legal risks, and internal contract review and approval procedures.
  4. Keep CP & ESG's business representatives and Managing Legal Counsel informed about significant legal developments.
  5. Collaborate with the Global Law and Compliance Department team members as needed.
  6. Effectively manage outside counsel in a cost-effective manner.
  7. Drive consistency of process and standardization, fostering knowledge sharing and supporting technology to automate tasks.
  8. Develop an in-depth understanding of the CP & ESG businesses, people, organization, markets, products, customers, competitors, and regulatory environment.
  9. Support the GLCD's M&A, regulatory, employment, and litigation teams with respect to matters affecting CP & ESG TeamMate.
  10. Perform other assignments as designated by leadership.

Requirements:

  • Candidates must have both a bachelor's degree and law degree (J.D.) and be admitted to practice law in the state where their assigned office is located.
  • 2-5 years of progressively responsible corporate/commercial legal experience, preferably at both a law firm and in-house.
  • Strong intellect, excellent legal acumen, and rigorous analytical skills.
  • Experience drafting and negotiating licensing and customer agreements.
  • Superior legal drafting and negotiating skills.
  • General understanding of privacy laws and regulations applicable to CP & ESG's business (e.g., GDPR and data privacy laws in the U.S.).
  • Excellent communication and change management skills.
  • Unquestioned integrity and business ethics.
  • A proactive, energetic, and enthusiastic approach to all tasks.
  • The ability to handle a substantial workload, including multiple concurrent projects, many involving time-pressured situations.
  • Experience and confidence to push for change and challenge the status quo.
  • A willingness to travel when necessary or appropriate.
  • Poise and strong interpersonal skills.
  • Decisive and calm under pressure.
  • Ability to work well as a member of a global and cross-functional team.
