We are seeking a seasoned Corporate Counsel to lead our Finance and Corporate Governance team. As a key member of our Legal Department, you will develop and implement strategies to ensure compliance with applicable laws and regulations. Your expertise will be invaluable in advising our Finance and SEC Reporting teams on complex legal matters.

Key Responsibilities:

  • Provide legal guidance on financing activities, public company SEC filings, contract drafting, and review.
  • Collaborate with Accounting and Tax teams on entity structure, formation, and maintenance.
  • Support the Chief Legal Officer in coordinating Board of Director and committee meetings.
  • Interpret and prepare legal documents, analyze proposed and existing legislation, and advise management on legal matters.

Requirements:

  • Law degree from an accredited U.S. law school and membership in at least one state bar (preferably Massachusetts).
  • 10+ years of experience in corporate or transactional law, with senior in-house legal positions a plus.
  • Retail fuel and convenience store experience is a plus.
