Tax and Financial Expert

Main Street Capital Corporation is a leading investment firm that seeks to partner with entrepreneurs and business owners in the lower middle market.
The Tax Manager role at Main Street Capital will play a critical part in managing the company's tax function, ensuring compliance with all relevant tax laws and regulations. This individual will be responsible for performing tax due diligence on potential equity investments, providing structural advice on investment transactions, and analyzing proposed acquisitions to assess their tax impacts.
Key responsibilities include:
- Investment Process
- Perform tax due diligence on potential equity investments, including federal and state income tax, franchise/gross receipts tax, sales & use tax, payroll tax, and property tax.
- Provide structural advice on investment transactions with emphasis on equity investments structured as partnerships (LLCs) and C corporations.
- Analyze proposed acquisitions by portfolio companies to assess the tax impacts of transactions, including working with legal on purchase documentation language.
- Tax Structuring and Advice
- Collaborate with deal teams to provide ad hoc advice on all tax matters arising from investment opportunities, including providing taxable income projections and structuring tax-efficient acquisitions and dispositions.
- Coordinate with portfolio companies' accounting firms to ensure timeliness and accuracy, including confirming partnership income allocations properly reflect the economics of the investment.
- Compliance and Audit Support
- Manage Big 4 accounting firm performing outsourced functions, including maintaining tax status under IRC Subchapter M and filing all U.S. and state tax returns.
- Oversee any tax-related audits and coordinate with outside tax consultants and auditors as needed.
- General Corporate Responsibilities
- Prepare position memos for internal purposes and potential audit defense, research complex tax issues, and summarize results in a concise manner to communicate to management and investment team members.
- Responsible for correspondence with tax authorities regarding federal and state notices.
The ideal candidate will have at least 7+ years of broad tax experience, including partnership and corporate taxes, U.S. federal, and state. A Bachelor's degree in Accounting, CPA, or Master's in Tax or J.D. is required. Experience in subchapter K taxation, ASC 740 income tax accounting, and subchapter C is highly desired.
