This role will report directly to the Executive Vice President and General Counsel of the organization.

Key Responsibilities:

  • Manage domestic and international statutory filings related to the establishment, dissolution, and merger of corporations, partnerships, and limited liability companies.
  • Oversee the maintenance of corporate records for various business entities.
  • Prepare and submit necessary reports to relevant government agencies.
  • Draft corporate resolutions and facilitate joint ventures and partnership activities.
  • Conduct research on domestic and international corporate statutes and securities regulations.
  • Review purchase and sale agreements, and create closing checklists.
  • Prepare Articles of Incorporation, Designation of Registered Agent, and any required fictitious name registrations.
  • Engage in due diligence and research tasks.
  • Coordinate corporate compliance efforts, including governance activities.
  • Draft miscellaneous correspondence and manage document transmission.

Qualifications and Requirements:

  • Three to seven years of experience in a corporate paralegal role.
  • Bachelor's degree preferred or a Paralegal Certificate.
  • Familiarity with state laws and their implications for corporate and securities matters.
  • Understanding of various state, county, and city licensing laws and requirements.
  • Knowledge of corporate law statutes.
