We are seeking a highly skilled Senior Contracts and Compliance Professional to lead our contracts department. This role will be responsible for maintaining effective business relationships with internal, government, commercial, foreign, and domestic customers.

This role involves creating, negotiating, approving, executing, and implementing contracts with various federal agencies, commercial contractors, and subcontractors. Ensuring deliverables, deadlines, and contract terms and conditions are met, issues are addressed, and changes or modifications are incorporated, while ensuring both parties meet their obligations under the terms of the agreement.

This role will also provide oversight for resolution of company and contract compliance issues.

Key Responsibilities:

  • Negotiation and administration of agreements between the company, customers, subcontractors, and vendors
  • Maintaining contract and subcontract files including modifications and correspondence
  • Managing supplier performance and working closely with the Program Office to create return to green plans and create supplier performance scorecards for all major subcontractors
  • Reviewing contractual documents to ensure adherence to company policy, government specifications, and requirements
  • Providing contractual advice, guidance, and support to programs and management
  • Analyzing contract requirements, provisions, terms, and conditions to ensure compliance with appropriate laws, regulations, and corporate policies
  • Working collaboratively with other departments to provide guidance on contract matters
  • Writing clear and concise letters or responses to customers and subcontractors
  • Tracking contract performance and managing contract changes, modifications
  • Assisting in the proposal preparation and review process
  • Drafting and reviewing company contracts such as Subcontracts, NDA's, MOU's, teaming agreements, consultant agreements, etc.
  • Ensuring protection of company interests and intellectual property during negotiations
  • Developing a list of prime contract flow-down clauses for inclusion in subcontract requests for quote and proposal
  • Evaluating subcontractor proposals for completeness and adherence to compliance with Prime contract flow-down requirements
  • Providing guidance on contract policies, procedures, and other business and contractual or compliance matters affecting the Company
  • Administering the contract by executing all change notices and preparing all correspondence to obtain extensions to the period of performance, provide additional funding requirements, and notify of change of key personnel and cost increases
  • Coordinating contract closes out and handling audits
  • Overseeing Contract Coordinator
  • Performing other duties as assigned

Compliance:

  • Managing activities related to compliance with company contracts, policies, and government regulations
  • Providing oversight for resolution of compliance issues
  • Reviewing and resolving issues affecting compliance and ensuring satisfaction of legal and regulatory requirements
  • Identifying informational needs of management and making recommended actions
  • Developing and implementing company compliance training tools and programs

Requirements:

  • Bachelor's degree in business, law, or a related field and ten or more years of progressive experience in government contracts
  • Familiarity with general business operations and management functions and principles
  • Comprehensive knowledge of FAR, DFARS, and government procurement and contracting cycles
  • Experience in the management of government contracts
  • Detailed knowledge of government intellectual property (IP) and software and data rights clauses and IP marking guidelines
  • Detailed knowledge of source selection and evaluation processes
  • Knowledge of requirements for and experience in the administration of government property

The estimated salary for this position is $140,000 - $200,000 per year, depending on experience.
