We are seeking a seasoned In-House Legal Counsel to support our legal needs, with a strong focus on commercial contract review and negotiation.

This role will be pivotal in ensuring that our contractual engagements are legally sound, risk-mitigated, and aligned with our business objectives.

The ideal candidate will also provide support for various general legal matters that arise within our engineering, service, and OEM operations.

Key Responsibilities:

  • Review, draft, and negotiate a wide range of commercial contracts, including supply agreements, procurement contracts, sales agreements, and service contracts.
  • Ensure contracts are compliant with applicable laws and regulations and align with company policies and objectives.
  • Identify and mitigate risks associated with contractual obligations and business arrangements.
  • Provide legal advice and support to various departments within the company, including engineering, operations, finance, human resources, and sales.
  • Assist in resolving legal disputes and managing litigation or arbitration processes when necessary.
  • Monitor changes in relevant laws and regulations, advising the company on compliance issues and necessary adjustments.
  • Implement and maintain effective compliance programs and internal controls.
  • Assist in the development and implementation of company policies and procedures.
  • Support corporate governance, including drafting and reviewing corporate documents, and assisting with corporate filings.
  • Collaborate with external legal advisors and consultants as needed.
  • Engage with internal stakeholders to ensure legal considerations are integrated into business processes and decision-making.

Requirements:

  • Bachelor's degree in law.
  • Licensed to practice law from the State Bar Association.
  • A minimum of 5 years' experience as a corporate lawyer.
  • Proven experience as a commercial lawyer, preferably in the OEM and manufacturing service industries.
  • Strong understanding of corporate law, contracts, intellectual property, and corporate regulations and compliance.
  • Excellent negotiation, communication, and problem-solving skills.
  • Ability to navigate complex legal issues and work collaboratively in a fast-paced, dynamic environment.
  • Detail-oriented with a focus on accuracy and quality of work.
