The Senior Corporate Securities Attorney is a critical role at US Foods, Inc., requiring expertise in corporate securities law, complex commercial transactions, and public company reporting. This position involves overseeing legal compliance and ensuring adherence to federal and state securities laws.

Key Responsibilities:

  • Securities Law Compliance and Reporting
    • Manage public company reporting and disclosure obligations, including preparation and filing of SEC forms and proxy statements.
    • Ensure compliance with Sarbanes-Oxley and Dodd-Frank regulations.
    • Provide counsel on insider trading compliance, disclosure policies, and other SEC-related matters.
    • Collaborate with finance, investor relations, and external advisors for accurate and timely disclosure.
  • Corporate Governance
    • Advise management on corporate governance best practices, fiduciary duties, and shareholder relations.
    • Manage corporate governance documentation, including drafting board resolutions, charters, and bylaws.
    • Monitor evolving regulatory requirements affecting corporate governance and develop strategies for compliance.
  • Transactional and Strategic Support
    • Lead legal aspects of capital markets transactions, including public and private equity offerings, stock repurchase programs, and financing activities.
    • Provide legal support for mergers, acquisitions, joint ventures, and strategic transactions.
    • Closely work with cross-functional teams on transaction strategy, timelines, and integration planning.
  • Relationships and Collaboration
    • Develop strong relationships with internal stakeholders, including the legal team, investor relations, executive compensation, and treasury.
    • Foster partnerships with external entities, such as outside counsel, government agencies, board of directors, and proxy advisory companies.

Requirements:

  • A minimum of 5 years of experience in corporate securities law, complex commercial transactions, and public company reporting.
  • Strong skills in negotiation, drafting, and problem-solving, with exemplary relationship building and management capabilities.
  • Demonstrated success in managing public company reporting, corporate governance, and securities transactions.
  • Licensed to practice law and in good standing under any state bar that enables admission to practice as in-house counsel.

Compensation and Benefits:

The estimated base salary for this role is between $110,000 and $180,000 per annum, depending on relevant experience and/or education. Additional benefits include an annual incentive plan bonus and a Long-Term Incentive, along with various employee benefits, such as health insurance, pre-tax spending accounts, retirement benefits, paid time off, short-term and long-term disability, employee stock purchase plan, and life insurance.
