- Conduct legal research to support the company's decision-making process.
- Prepare and maintain legal documents, correspondence, and reports.
- Ensure all legal documentation is properly organized and filed.
- Ensure robust corporate governance practices are in place.
- Prepare and review corporate policies and procedures.
- Maintain and update company legal document templates, such as Non-Disclosure Agreements (NDAs) and M&A-specific NDAs.
- Maintain corporate and board records.
- Compliance and Risk Management
- Oversee and manage compliance programs, including anti-bribery, anti-corruption, and data protection.
- Identify potential legal risks and develop strategies to mitigate these risks.
- Conduct internal audits and investigations as necessary.
- Mergers and Acquisitions (M&A)
- Review M&A transaction and legal diligence documents, including purchase agreements, disclosure schedules, and other related documents.
- Oversee post-transaction integration from a legal perspective.
- Legal Advice and Support
- Provide expert legal advice to various departments within the company on a wide range of issues, including employment law, intellectual property, commercial transactions, and regulatory compliance.
- Stay updated on relevant legal developments and advise the company on potential impacts.
- HR Compliance
- Collaborate closely with the HR Director of Compliance to ensure consistency and alignment in compliance efforts.
- Provide legal guidance on employment law matters, including labor relations, employee contracts, workplace policies, and dispute resolution.
- Juris Doctor (JD) degree from an accredited law school.
- Must be a licensed attorney in good standing.
- A minimum of 7 years of legal experience, including significant experience in a corporate legal department or law firm.
- Strong leadership and management skills.
- Excellent analytical, negotiation, and problem-solving abilities.
- Ability to work effectively with a wide range of internal and external stakeholders.
- High ethical standards and integrity.
- Strong negotiation and problem-solving abilities.
- Experience working with clients in the Manufacturing/Service industry relevant to the company.
- Background in corporate governance and compliance preferred.
- Experience in M&A transactions is a plus.
