    • Prepare and review corporate policies and procedures.
    • Maintain and update company legal document templates, such as Non-Disclosure Agreements (NDAs) and M&A-specific NDAs.
    • Maintain corporate and board records.
  • Compliance and Risk Management
    • Oversee and manage compliance programs, including anti-bribery, anti-corruption, and data protection.
    • Identify potential legal risks and develop strategies to mitigate these risks.
    • Conduct internal audits and investigations as necessary.
  • Mergers and Acquisitions (M&A)
    • Review M&A transaction and legal diligence documents, including purchase agreements, disclosure schedules, and other related documents.
    • Oversee post-transaction integration from a legal perspective.
  • Legal Advice and Support
    • Provide expert legal advice to various departments within the company on a wide range of issues, including employment law, intellectual property, commercial transactions, and regulatory compliance.
    • Stay updated on relevant legal developments and advise the company on potential impacts.
  • HR Compliance
    • Collaborate closely with the HR Director of Compliance to ensure consistency and alignment in compliance efforts.
    • Provide legal guidance on employment law matters, including labor relations, employee contracts, workplace policies, and dispute resolution.
Qualifications
  • Juris Doctor (JD) degree from an accredited law school.
  • Must be a licensed attorney in good standing.
  • A minimum of 7 years of legal experience, including significant experience in a corporate legal department or law firm.
  • Strong leadership and management skills.
  • Excellent analytical, negotiation, and problem-solving abilities.
  • Ability to work effectively with a wide range of internal and external stakeholders.
  • High ethical standards and integrity.
  • Strong negotiation and problem-solving abilities.
  • Experience working with clients in the Manufacturing/Service industry relevant to the company.
  • Background in corporate governance and compliance preferred.
  • Experience in M&A transactions is a plus.
