Job Description

Oberman Law Firm is seeking a highly skilled Hybrid Attorney for Corporate Deals to join its corporate practice. This full or part-time position offers a unique opportunity to work on complex transactions, advise clients on regulatory matters, and drive business growth.

About the Opportunity:

This role requires a strong background in corporate transactions, including due diligence, drafting agreements, and negotiation. You will be responsible for leading and managing all legal aspects of M&A transactions, collaborating with cross-functional teams, and ensuring compliance with federal and state laws and industry-specific regulations.

Key Responsibilities:

  • Lead and manage all legal aspects of M&A transactions, including mergers, acquisitions, joint ventures, and other business combinations.
  • Draft, review, and negotiate key transaction documents, including purchase agreements, letters of intent, confidentiality agreements, and shareholder agreements.
  • Provide strategic legal advice to clients on deal structures, corporate governance, regulatory compliance, and risk mitigation.
  • Collaborate with cross-functional teams, including financial advisors, accountants, and other attorneys, to ensure seamless transaction execution.
  • Ensure compliance with federal and state laws and industry-specific regulations, as applicable.

Qualifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Licensed to practice law in Georgia; additional state bar admissions are a plus.
  • At least 5 years of experience in corporate transactions or related areas.
  • Strong knowledge of corporate law, securities law, and M&A transactions.
  • Excellent drafting, negotiation, and communication skills.
