Candidate Profile

Academic Qualifications:
  • Master's degree in international business law (Bac +5).
  • Expertise in U.S. legal frameworks.
  • Doctorate from an ABA accredited law institution or an equivalent international qualification. Valid legal license in the relevant jurisdiction.
Professional Experience:
  • At least 8 to 10 years of experience in a comparable role within a complex industrial environment, ideally focused on large-scale energy initiatives.
  • Proficient in engineering, procurement, and construction agreements, particularly within the renewable energy domain.
Additional Skills:
  • Demonstrated boldness, practicality, attention to detail, and independence to seamlessly integrate into the existing team and meet the needs of internal stakeholders.
  • Strong interest in technical and industrial matters.
  • Ability to adapt in a dynamic, high-pressure business environment, addressing a variety of challenges.
Key Responsibilities

1. Contract Drafting and Negotiation for Energy Storage Solutions:

Responsibilities include:
  • Creating and updating contracts for energy storage projects.
  • Modifying standard contract templates to fit specific project requirements.
  • Reviewing tender documents and customizing sales agreements, considering aspects such as economic sanctions, compliance, and insurance, in collaboration with specialized teams.
  • Establishing procurement contracts through framework agreements with key suppliers.
Main contract types include:
  • Sales agreements for equipment supply and commissioning.
  • Engineering, procurement, and construction contracts.
  • Service agreements.
  • Joint venture and consortium agreements.
  • Procurement and subcontracting agreements.
Contract negotiation tasks involve:
  • Assessing tender documentation and clarifying project-related issues.
  • Negotiating contracts related to energy storage projects.
Mergers & Acquisitions:
  • Assist in reviewing Share Purchase Agreements (SPAs) and related contracts during mergers and acquisitions within the energy storage division.
  • Act as the liaison for external legal counsel during SPA reviews and negotiations.
2. Support During Project Implementation (Including Pre-Litigation and Litigation):

Provide legal support to operational teams during the execution of energy storage projects:
  • Evaluate contract claims and assist in drafting response letters aligned with contract terms.
  • Oversee pre-litigation and litigation matters, coordinating with external legal counsel and managing insurance issues.
3. Monitoring Contractual Risks:
  • Identify and monitor legal and regulatory risks associated with contracts.
4. Internal Training and Tool Development:
  • Contribute to training initiatives for operational teams and develop relevant tools.
5. Compliance:
  • Ensure adherence to internal company policies and regulations.
