As a key member of our Venture Capital & Emerging Companies practice, you will play a pivotal role in advising businesses, providing both legal counsel and strategic guidance to support client growth and success.

Key Responsibilities
  • Lead venture finance transactions, mergers and acquisitions, and corporate governance matters.
  • Develop in-depth knowledge of startup/financing documents, including convertible notes, SAFEs, priced equity rounds, NVCA model documents, SAFTs, and Token offerings.
  • Draft commercial agreements, negotiate with opposing counsel, and manage teams through diligence and transaction closures.
Requirements
  • At least four years of experience in the venture capital industry.
  • Demonstrated ability to lead deal teams and manage transactions from inception to closing.
  • Exceptional written and verbal communication skills.
  • Strong client-facing skills and the ability to work independently.
  • Team-oriented mindset with the ability to collaborate across various practice areas within the firm.
  • Advanced proficiency in Excel, particularly with cap tables, exit waterfalls, and financial modeling tools.
  • Active bar membership in good standing in the jurisdiction of practice.
Preferred Background

Strong academic credentials, experience with AM100/200 law firms or similar prestigious firms, and stable employment history are highly valued.
