About the Role

CoBank is seeking a highly skilled Senior Paralegal to join our team. As a key member of our corporate and transactional legal team, you will perform varied legal, title, abstract, and other necessary research to assist attorneys and supervisors with the performance of corporate and/or transactional legal work.

Key Responsibilities

  • Draft and review complex legal, loan, and collateral documentation, correspondence, and opinions.
  • Perfect collateral according to state statutes and maintain perfection of collateral to include extensions, amendments, and continuations as needed.
  • Order UCC lien searches for verification and determination of lien position.
  • Review, analyze, and organize title commitments, abstracts, policies submitted to CoBank, exception documents, and other due diligence items, including but not limited to surveys.
  • Obtain and review organizational documents, complete signatory authority reviews, prepare borrower and guarantor resolutions, and perform follow-up, tracking, and maintenance of updated organizational documents.
  • Assist in drafting, updating, and maintenance of standard loan documentation language and templates and mortgage templates.
  • Assist in performing complex legal audits and reviews existing loan files to ensure compliance with quality controls.
  • Maintain and organize legal files and legal electronic database, legal training materials, and manuals.
  • Assist in document preparation for discovery requests and track legal proceedings.
  • Assist in research of mortgage law to keep mortgage review binders current.
  • Assist in drafting procedures and guidance.
  • Perform legal research, including but not limited to cite checking, summarize research results, and recommend appropriate courses of action.
  • Respond to customer requests related to status updates and details of more complex transactions, consulting with an attorney as needed.

Requirements

  • Five (5) or more years of paralegal experience, preferably in a secured lending practice or law firm; or appropriate combination of education and experience.
  • Bachelor's degree and paralegal certification preferred.
  • Understanding of loan and collateral transactions and ability to audit a transaction or customer.
  • Intermediate knowledge of legal, commercial lending, and lease terminology, title insurance, real estate law, the Uniform Commercial Code, and collateral documentation, with intermediate knowledge of some of these areas preferred.
  • Demonstrated skills in Microsoft Office applications (Outlook, Word, SharePoint, and Excel).
  • Ability to prioritize and schedule work and projects with minimal supervision. Flexible to work with multiple teams and balance ongoing projects and work.
  • Ability to work independently with minimal guidance, as well as collaboratively in a team environment. Acts as resource to others on the team, answers questions, and provides training as needed.
  • Strong analytical and problem-solving skills.
  • Strong organizational and time management skills.
  • Strong detail and customer service orientation.
  • Strong verbal and written communication and interpersonal skills.

What We Offer

  • Estimated Base Salary Range: $75,037-$91,920
  • Short Term Incentive Bonus: 10%
