The Sr. Counsel Corporate and Securities role at US Foods, Inc. offers a unique blend of securities law compliance, public company reporting, and corporate governance expertise.


Estimated Salary Range

We offer a competitive salary range of $110,000 to $180,000, along with an annual incentive plan bonus and long-term incentive opportunities.


About the Role

This is a hybrid position requiring three onsite days per week and remote work for the remainder. The ideal candidate will have over 5 years of experience in corporate securities law, with strong negotiation skills and the ability to manage complex matters.


Key Responsibilities
  • Securities Law Compliance and Reporting:
    • Oversee public company reporting and disclosure obligations, including SEC filings.
    • Evaluate compliance with federal and state securities laws, including Sarbanes-Oxley and Dodd-Frank regulations.
    • Provide counsel on insider trading compliance, disclosure policies, and other SEC-related regulatory matters.
    • Collaborate with finance, investor relations, and external advisors for accurate and timely disclosure.
  • Corporate Governance:
    • Advise management on corporate governance best practices, fiduciary duties, and shareholder relations.
    • Manage corporate governance documentation, including drafting board resolutions and preparing materials for board meetings.
    • Monitor evolving regulatory requirements affecting corporate governance and develop strategies for compliance.
  • Transactional and Strategic Support:
    • Lead legal aspects of capital markets transactions, including public and private equity offerings.
    • Provide support for mergers, acquisitions, joint ventures, and other strategic transactions.
  • Other Duties:

Relationships and Collaborations
  • Internal Relationships: Legal team colleagues, investor relations, executive compensation, treasury
  • External Relationships: Outside counsel, government agencies, board of directors, proxy advisory companies, third parties

Minimum Qualifications
  • At least 5 years of relevant experience in corporate securities law and complex commercial transactions.
  • Exemplary relationship building, negotiation, drafting, and problem-solving skills.
  • Demonstrated success in managing public company reporting, corporate governance, and securities transactions.
  • Ability to manage complex matters with executive management and board-level stakeholders.

Education and Licenses
  • Undergraduate degree and Juris Doctor degree from highly regarded institutions.
  • Licensed to practice law in good standing under the Bar of any state enabling admission as in-house counsel.
