About the Role

The New York Times Company is seeking an experienced attorney to join our team as a Corporate Securities Attorney. This role will play a key part in drafting and advising on filings with the Securities and Exchange Commission, as well as providing legal counsel on a diverse range of matters related to day-to-day operations of the Company.

Responsibilities:
  • Support the mission of The New York Times to seek the truth and help people understand the world by demonstrating a strong commitment to journalistic independence.
  • Play a key role in drafting and advising on filings with the Securities and Exchange Commission, including annual and quarterly reports, proxy statements, and other SEC filings.
  • Advise senior management on disclosure matters, including coordinating the review of earnings and other press releases, presentations, internal communications, and other announcements.
  • Counsel the Treasury group on securities transactions, including debt offerings, banking agreements, pension management, and other Treasury matters.
  • Provide support on matters relating to the board of directors and senior management, including corporate governance matters and legal entity management.
  • Provide legal counsel on a diverse range of matters related to day-to-day operations of the Company, including investor relations, finance, treasury, internal audit, and human resources.
  • Assist with coverage of general corporate and commercial matters, including reviewing contracts and supporting compliance efforts.
  • Play a leading role in managing the Company's environmental, social, and governance initiatives.
Qualifications:
  • 4+ years of experience working in corporate and federal securities laws and requirements applicable to a public company.
  • Experience preparing annual and quarterly reports on '34 Act reporting and disclosure, Forms 10-K and 10-Q, current reports on Form 8-K, proxy statements, Forms S-8, and Section 16 filings.
  • Demonstrated ability to organize, plan, coordinate, and implement large and ongoing projects.
  • Experience with financial statements and accounting literature and comfortable discussing underlying financial statement concepts.
  • Undergraduate and J.D. degrees from an ABA-accredited law school.
  • A member of the New York bar, in good standing.
Preferred Qualifications:
  • Previous in-house experience.
  • Prior experience advising on executive compensation matters, including incentive plans and programs, equity administration, and related public company disclosure considerations.

The annual base pay range for this role is between $180,000.00 and $210,000.00.
