Assistant General Counsel, Corporate & Securities

About the Role: We are seeking an experienced Assistant General Counsel to provide legal support on corporate and securities law matters. The successful candidate will have a strong background in securities law compliance, capital markets, and corporate finance.

Key Responsibilities:

  1. Securities Law Compliance: Provide legal advice on SEC disclosure issues, assist with preparation and submission of annual and periodic securities filings, and lead the preparation of proxy statements, registration statements, and 13-D/F filings.
  2. Capital Markets and Corporate Finance: Provide legal advice to the Corporate Finance and Treasury functions on capital markets transactions, financings, credit facility matters, share repurchases, and other corporate finance matters.
  3. General Corporate Law: Provide general legal support to the Corporate Secretary's Office and other corporate functions on matters of Maryland corporate law, NYSE listing requirements, corporate governance, and other issues.

Requirements:

  • Juris Doctorate and admission to practice law in at least one state.
  • A minimum of 5 years of experience in securities law compliance and corporate finance.
  • Demonstrated ability to work independently, collaborate with others, and lead cross-functional teams.
  • Excellent writing and communication skills, with the ability to counsel senior executives.
  • Ability to prioritize tasks, assume ownership of issues, and drive projects to completion.

Preferred Qualifications:

  • At least 8 years of experience practicing law.
  • People leadership and project management experience.

  • Mission-driven with an understanding of highly regulated industries and familiarity with the aerospace and defense industry.
  • Familiarity with Lockheed Martin's Core Values.

Work Arrangements:

  • Part-time Remote Telework: The employee will work part of their schedule remotely and part of their schedule at a designated Lockheed Martin facility.
  • 4x10 hour day, 3 days off per week.
