Assistant General Counsel

The Assistant General Counsel serves as a key legal advisor to the Board of Directors, Chief Executive Officer, and the Executive Leadership Team. This role is responsible for driving the strategic and operational legal, compliance, and regulatory initiatives on behalf of the organization.
Key responsibilities include coordinating and overseeing the legal representation of the company in all civil litigation and business affairs, including serving as liaison with specialized outside consultant counsel. The Assistant General Counsel will also manage and supervise other legal professionals and support staff assigned to the Legal Department.
Essential Duties and Responsibilities- Plans, organizes, and directs the operations of the Legal Department.
- Assigns subordinate staff work and reviews to ensure accuracy, completeness and compliance with established standards, requirements, and procedures.
- Provides expert advice to the Board of Directors, Chief Executive Officer, and Executive Leadership Team on a variety of complex legal matters such as regulatory compliance, contracts, risk management and insurance, litigation, governance, and corporate transactions.
- Leads the strategy for litigation and regulatory actions filed against or on behalf of the health plan and defines and executes a mitigation plan.
- Oversees the selection, retention, management, and evaluation of all outside consultant counsel.
- Develops, revises, and recommends policies and procedures.
- Provides guidance on the legal impact of new or proposed local, state, federal, or managed care legislation or changes in government agency requirements or processes.
- Possesses expertise in evaluating, planning, and remediating enterprise risk-related matters as issues and initiatives arise.
- Keeps abreast of any legal issues affecting the organization, including identifying trends as well as analyzing and interpreting new regulatory requirements.
- Responsible for processing agency resolutions and executing major legal action regarding the organizations' public entity status as it relates to jurisdiction, function, procedures, operations, and responsibilities.
- Attends all Board of Directors and Committee meetings serving as legal advisor to the respective legislative bodies.
- A juris doctorate degree from an accredited college or university is required.
- A minimum of eight years of progressively responsible experience as a licensed attorney in comparable legal environment, including a minimum of four years of civil legal experience with a public agency, which provides the required knowledge and ability for the position.
- Possession of an active, unrestricted, and unencumbered license to practice law from the State Bar of California.
- Prior experience in health care law specializing in managed care organizations or health systems is preferred.
- Analyze and apply laws, legal principles, and precedents to specific local health plan matters.
- Present oral and written statements of fact, law, and argument in a clear, logical, and persuasive manner.
- Draft resolutions, contracts, and legal procedures.
- Maintain confidential information according to legal and professional standards.
- Possesses a strong understanding of regulatory requirements for a public agency in the delivery of health care services.
- Has a comprehensive understanding of federal, state, and local laws and regulations applicable to public entities in California, specifically Brown Act and California Public Records Act.
- Demonstrates expertise in the areas of health plan licensing, regulatory compliance, managed care operations, and provider and government contracts.
