Job Description:We are seeking an experienced Chief Operating Counsel to join our management team. As a key member of our leadership team, you will provide high-level legal counsel and lead the legal function of our global education company. Your expertise will be invaluable in shaping our legal strategies and ensuring compliance with applicable laws, regulations, and industry standards across multiple jurisdictions.
Responsibilities:• Develop and implement legal strategies that align with our business objectives and international operations, ensuring compliance with applicable laws, regulations, and industry standards across multiple jurisdictions;
• Oversee and manage the drafting, negotiation, review, and amendment of core contracts and agreements, including licensing agreements, patents, non-disclosure agreements, vendor contracts, employment agreements, and contractor agreements;
• Negotiate with entities worldwide and engage local outside counsel as needed, developing and maintaining strong working relationships with attorneys in various locations;
• Review domestic and international tax implications arising from our partnerships and operations, ensuring compliance with US and foreign regulatory requirements and engaging outside counsel as needed;
• Provide guidance on corporate structure, governance issues, and regulatory compliance, assisting in efforts to raise capital, and supporting the Board of Directors and executive leadership on corporate governance matters;
• Manage legal budgets and expenditures of outside law firms and other legal vendors.
Required Skills and Qualifications:• 12+ years of corporate and commercial contract experience, with a mix of law firm and in-house experience strongly preferred;
• Significant international legal experience;
• Higher education experience is a plus;
• Ability to prioritize, multitask, and provide timely risk management assessments;
• Excellent oral and written communication skills, with the ability to communicate effectively with non-lawyers;
• Significant leadership and management experience;
• Sound judgment, ethical integrity, and project management skills;
• JD and in good standing in at least one state, with the ability to waive into Arizona bar.
