Senior Corporate Counsel for Securities and Governance

At US Foods, Inc., we are seeking a seasoned Senior Corporate Counsel to join our team in the role of Securities and Governance Specialist. This position requires a minimum of 5 years of relevant experience in corporate securities law, complex commercial transactions, and at least 3 years in an in-house public company or large law firm environment.

As a Senior Corporate Counsel, you will provide legal guidance on securities law compliance and corporate governance for our public company. You will oversee and manage all public company reporting and disclosure obligations, including the preparation and filing of Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 reports.
In this role, you will ensure compliance with federal and state securities laws, including Sarbanes-Oxley and Dodd-Frank regulations. You will also provide counsel on insider trading compliance, disclosure policies, and other SEC-related regulatory matters.
You will work closely with finance, investor relations, and external advisors to ensure accurate and timely disclosure of financial and non-financial information. Additionally, you will advise management on corporate governance best practices, fiduciary duties, and shareholder relations.
This is a hybrid role, requiring three onsite days per week and the rest remote. The expected base rate for this role is between $110,000 and $180,000, and you will receive an annual incentive plan bonus and a Long-Term Incentive.
